Contents
These terms cover the Outlayr app, Outlayr Pro, and the servers behind them. They affect your rights, including how disputes are handled.
The short version
- Your ledger is yours. We use it only to run the features you choose.
- Outlayr records money. It does not move money, and it is not financial, tax, or legal advice.
- AI features can get amounts, dates, and merchants wrong. Check a draft before you save it.
- Outlayr Pro is billed by the app store you buy it from (on iPhone, Apple). You cancel with that store, and it handles refunds.
- A lifetime purchase lasts as long as we offer Outlayr and Pro, not for your lifetime.
- Without sync, your ledger exists only on your phone. Export a full archive now and then.
- Delaware law applies, and you keep the consumer rights the law where you live gives you.
This summary is for convenience. The full terms below are what apply.
The agreement
These Terms of Use are an agreement between you and danestves LLC, a Delaware limited liability company (“we” or “us”). They cover the Outlayr app, Outlayr Pro, this website, and the servers behind them (together, “Outlayr”).
By downloading, installing, or using Outlayr, you agree to these terms. If you do not agree, do not use Outlayr.
Our Privacy Policy, which explains what we collect, where it goes, and how to delete it, also applies.
If you get Outlayr from Apple’s App Store, these terms are its end user license agreement, in place of Apple’s standard one, and Apple’s terms are part of them.
Who can use Outlayr
You must be at least 13 years old to use Outlayr. If the law where you live sets a higher minimum age for using an app like Outlayr without a parent’s consent, you must meet that age.
If you are under the age of legal majority where you live, a parent or guardian must review and accept these terms for you. They are responsible for your use of Outlayr and for any purchases you make.
You may not use Outlayr if US law prohibits you from receiving it. See export controls.
What Outlayr is, and is not
Outlayr is a tool for recording and reviewing your own money: expenses, income, transfers between your accounts, budgets, goals, and recurring charges. It works from what you type, speak, scan, import, or log from Wallet on iPhone.
Outlayr is not:
- a bank, payment service, or money transmitter. It does not connect to your bank, hold funds, or make payments. Recording a transfer between accounts in Outlayr moves no money.
- a financial, investment, tax, accounting, or legal adviser. Nothing in Outlayr is a recommendation about what to do with your money.
- an official record. Check it against your statements and receipts before you use it for taxes, audits, or legal matters.
You are responsible for the decisions you make using Outlayr.
Your account
You can use most of Outlayr without an account. Your ledger stays on your phone, and the app works the same way signed out.
You need an account to:
- sync your ledger across devices;
- buy Outlayr Pro;
- use voice entry, receipt scanning, merchant suggestions, and AI matching on import.
You create an account by signing in with Apple or Google. Outlayr has no passwords of its own. Signing in does not change your ledger. You choose whether to sync.
You are responsible for:
- keeping the Apple or Google account you sign in with secure;
- what happens under your Outlayr account;
- telling us promptly at [email protected] if you think someone else has used it.
An account is for one person. Do not share it, or create one for someone else without their consent.
Free and Pro
Outlayr is free to download and use. Outlayr Pro lifts the free limits and adds features that run on our servers. As of the effective date of these terms, the plans compare like this:

Pro’s limit on voice entries and receipt scans is a fair-use limit. Merchant suggestions are available on both plans.
How captures are counted
- A capture is one voice clip or one receipt photo. Voice entries and receipt scans share one allowance.
- A capture counts once our server accepts it, before the AI reads it. A clip with no transaction in it, a photo with no receipt in it, and a spoken correction each count as one.
- The allowance runs in 30-day windows. When it is used up, the app tells you. Used captures come back within 30 days. On the free plan, upgrading to Pro lifts the limit right away.
- Separate short-term limits apply to how quickly you can send captures, merchant lookups, and imports. When you reach one, voice or scanning pauses briefly and the app shows when the next one is available.
- When our servers or our AI provider are overloaded, a request can be refused even if you have captures left.
Changes to the plans
We may change the limits and features of each plan. The Outlayr Pro screen in the app shows the current comparison. If a change removes something material from Pro, we will tell you in advance, and if you subscribe, you can cancel before your next renewal.
Features marked experimental in Settings, Feature Lab can change or disappear at any time.
Buying Outlayr Pro
Pro is sold as a monthly subscription, a yearly subscription, or a one-time lifetime purchase. The Outlayr Pro screen shows each plan’s price in your currency before you buy.
Billing
- Every purchase goes through the app store you get Outlayr from and is charged to your account with that store (on iPhone, your Apple ID) when you confirm it. The store processes the payment. We never see your card details.
- Prices can differ by country and may include taxes, as the store determines.
- You must be signed in to an Outlayr account to buy Pro. The purchase is linked to that account, so Pro follows your ledger to your other devices.
Automatic renewal
- A subscription renews automatically at the end of each month or year, for the same length, unless you turn off auto-renew at least 24 hours before the current period ends.
- The store charges the renewal within the 24 hours before the current period ends.
- You can see, change, or cancel a subscription in your app store account’s subscription settings (on iPhone, the Settings app: tap your name, then Subscriptions).
Free trials
- A subscription plan may include a free trial. The app offers one only when the store reports that you are eligible, and it shows the trial’s length and the price that follows.
- Unless you cancel at least 24 hours before the trial ends, the subscription starts and the store charges you when the trial ends.
- If you buy a subscription during a free trial, any unused part of the trial ends.
Price changes
- We set Pro’s prices and may change them. A new price applies to purchases made after it takes effect.
- For an existing subscription, the store tells you before a higher price applies and, where the law or the store’s rules require, asks you to agree. If you do not agree, the subscription ends when the period you paid for ends.
- A sale or introductory price applies only for the period stated with it.
- A lifetime purchase is never charged again, and later price changes do not affect it.
Restoring purchases
On a new phone or after reinstalling, sign in to the same Outlayr account, open Settings, tap Outlayr Pro, then Restore. Restore finds purchases made with the app store account signed in on that phone (on iPhone, the Apple ID signed in to the App Store).
What “lifetime” means
A lifetime purchase is a single payment. It does not renew, and you are not charged again.
“Lifetime” means for as long as we offer Outlayr and Outlayr Pro. It does not mean your lifetime, the lifetime of your device, or a fixed number of years.
It gives you Pro as we offer it over time, including changes made under Free and Pro. If we ever sell a separate product or tier, a lifetime purchase does not include it unless we say so.
A lifetime purchase is linked to your Outlayr account and the app store account that paid for it. It is for your own use and cannot be transferred or resold.
If we stop offering Outlayr or Pro
- We will try to give at least 30 days’ notice in the app or on this website before we stop.
- During that time you can keep using Pro and export your data.
- After that, features that run on our servers stop working, including sync, receipt photo backup, and the AI features.
- The ledger on your phone and any exports you made remain yours.
- A lifetime purchase is not refunded because Outlayr or Pro ends, except where the law requires it.
Cancelling and refunds
Cancelling
- You can cancel a subscription at any time in your app store account’s subscription settings (on iPhone, the Settings app: tap your name, then Subscriptions).
- Cancelling stops the next renewal. Pro stays active until the period you paid for ends.
- Deleting the app, signing out, or deleting your Outlayr account does not cancel a subscription. The app store keeps billing it until you cancel it there.
Refunds
- The app store you bought from handles refunds under its own policies. For App Store purchases, you can request one from Apple at reportaproblem.apple.com.
- We cannot issue refunds for app store purchases ourselves. Apart from what the store decides, a subscription is not refunded for the unused part of a period, except where the law requires it.
- If the law where you live gives you a right to withdraw from a digital purchase, you keep it. For a purchase made through an app store, you exercise it through that store.
- If the store refunds a purchase, the Pro it paid for ends.
When Pro ends
When a subscription runs out or a purchase is refunded, your account returns to the free plan:
- Nothing you created is deleted. Your entries, accounts, budgets, and currencies stay on your phone and keep working.
- You cannot add accounts, category budgets, or account currencies beyond the free limits until Pro is active again.
- Sync stops. Your ledger stays complete on your phone, and new changes wait there until Pro is active again. What was already synced stays in your account until you delete it.
- New receipt photos are no longer backed up.
- The free capture allowance applies, and AI matching on import and web merchant lookup turn off.
AI features
Some features use artificial intelligence, run by the third-party AI provider named in our Privacy Policy. They need an account and an internet connection.
- Voice entry. You describe a transaction out loud. It is transcribed and turned into a draft entry, which you can correct by speaking again.
- Receipt scan. You take a photo of a receipt. The total, store, date, and line items are read into a draft entry.
- Merchant suggestions. From a merchant’s name, Outlayr suggests a category, tags, and the business’s website, which is used to show its logo. You can turn this off in Settings, Feature Lab, “Suggest Category and Tags”.
- AI matching on import (Pro). When you import a CSV file, merchant names your phone could not match are matched to your categories. Amounts, dates, and the file itself are not sent.
- Web merchant lookup (Pro). For a merchant nobody has seen before, the AI may search the web to learn its category. The answer helps later entries, not the one you are entering. You can turn this off in Settings, Feature Lab, “Look Up New Merchants”.
AI output can be wrong
AI can mishear, misread, or guess. It can get an amount, currency, date, merchant, category, or line item wrong, or miss one entirely.
- Voice entries and receipt scans produce a draft. Nothing is saved until you tap Save, and it is up to you to check the draft first.
- Some suggestions are applied without a separate review, such as a logo looked up again in the background after you save an entry. Check your entries and correct anything that is wrong.
- If you save a wrong amount, the entry, your balances, and your budgets stay wrong until you fix it. To the extent the law allows, we are not responsible for losses that come from relying on AI output you did not check.
AI output is a suggestion, not a statement of fact by us. Usage limits are described in Free and Pro.
Figures, rates, and logos
Figures and estimates
Balances, totals, budgets, insights, and projections are calculated from what you enter. They are only as accurate as your entries, and they are estimates, not statements from your bank.
Exchange rates
Outlayr converts between currencies using rates from third-party sources, refreshed on a schedule. Rates can be delayed, missing, or different from the rate your bank or card charged. Until a rate is available, an entry may be counted at the amount it was logged in, and the app says so. Where you can set the rate yourself, the rate you enter is the one Outlayr uses.
Merchant names and logos
Logos are fetched from third-party logo services using the merchant’s website. A logo or website can be wrong, out of date, or belong to a different business with a similar name. Merchant names and logos belong to their owners. Showing them does not mean a business endorses or works with Outlayr.
Reminders
Reminders about upcoming charges depend on the schedules you set and on your phone delivering notifications. They can arrive late or not at all. Do not rely on them alone to avoid a missed payment or an unwanted charge.
Your data
You own your data. The entries, notes, categories, budgets, goals, photos, and anything else you put into Outlayr (“your data”) belong to you. We claim no ownership of it.
You give us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, and process your data only as needed to:
- provide the features you choose to use, such as sync, photo backup, and the AI features;
- keep Outlayr secure and prevent abuse;
- comply with the law.
The license extends to the service providers we use for those purposes, within the same limits. It ends when you delete your account, apart from the time needed to complete the deletion.
We do not sell your data, use it for advertising, or use it to train AI models. The Privacy Policy explains what we collect and how long we keep it.
Shared merchant information
When a merchant suggestion identifies a business, the business’s name, website, and general category may be kept in a shared list and reused to answer the same question for other people. The list describes businesses, not people. It does not record who looked a merchant up, and it never includes your amounts, dates, accounts, or notes.
What you add
Only add information you have the right to use, including photos and imported files. You are responsible for your data and for keeping it lawful.
Backups and data loss
Outlayr is local-first. Your ledger is stored on your phone. Unless you use sync, it exists nowhere else, and we cannot recover it for you if the phone is lost, reset, or damaged, or if you delete the app.
Ways to protect it, in Settings under Export Data:
- Export a full archive. It holds every entry, category, and budget, and it is the file you restore from. Keep a recent one somewhere other than your phone.
- Export CSV. A readable copy of your transactions, not a backup. Importing it re-creates only each transaction’s date, name, amount, currency, and type.
Sync (Pro) keeps a copy in your account, but it is not a backup either: it carries your deletions and edits to your other devices too.
Some actions cannot be undone:
- Restoring from an archive replaces everything on your phone with the archive’s contents.
- Erasing data in Settings deletes those records permanently.
- If you sign in on a phone that holds entries while your account holds others, the app asks what to keep. Two of the three choices permanently delete the entries on one side.
Entries you delete one at a time go to Recently Deleted, where you can restore them.
We take reasonable care with data on our servers, but no system is free of failures. To the extent the law allows, we are not responsible for lost data that a recent export would have preserved.
Deleting your account
- In the app, open Settings, then Account, then Delete account. You may be asked to sign in again to confirm.
- This permanently removes your account and everything synced to it from our servers, including backed-up receipt photos. It cannot be undone.
- The ledger on your phone stays unless you choose Delete account and erase this device. If you keep it and sign in again later, the new account adopts it.
- Deleting your account does not cancel an app store subscription. Cancel it with the store first.
- Without an account, deleting the app deletes your data. Export first if you want to keep it.
Your license and our property
Your license to use Outlayr
Subject to these terms, we give you a personal, limited, non-exclusive, non-transferable, revocable license to install and use Outlayr, to keep your own records, on devices you own or control and, if you get Outlayr from Apple’s App Store, as permitted by the Usage Rules in Apple’s Media Services Terms and Conditions. We and our licensors keep all rights we do not expressly grant.
Our property
Outlayr’s software, design, text, graphics, and icons, and this website, belong to danestves LLC or its licensors. “Outlayr” and the Outlayr logo are our trademarks. Do not use them in a way that suggests we endorse or partner with you without our written permission.
Outlayr’s source code is published at github.com/danestves/outlayr under the GNU General Public License v3.0, and the code for our servers under the GNU Affero General Public License v3.0. The app builds on Dime, an open-source app by Rafael Soh. Those licenses, and the licenses of other open-source components, govern the code, and nothing in these terms limits your rights under them. If these terms, including Apple’s terms, conflict with those licenses, the licenses control for the code they cover.
Feedback
If you send us ideas, suggestions, or bug reports, we may use them freely without paying you or owing you anything. This gives us no rights in your data.
Acceptable use
Do not:
- use Outlayr to break the law or to help someone else break it;
- access, or try to access, another person’s account or data without permission;
- get around usage limits, rate limits, Pro checks, or security measures;
- call our servers or AI features outside the app, with scripts or bots, or resell access to them;
- overload, disrupt, or interfere with Outlayr or the services it depends on;
- copy, modify, decompile, or reverse engineer Outlayr, except as its open-source license or the law allows;
- upload content that is unlawful or that you do not have the right to use;
- use Outlayr or its output to build a competing product or to train an AI model.
If you find a security problem, email [email protected]. Please do not access other people’s data to demonstrate it.
Third-party services
Outlayr depends on services run by others, including Apple (the App Store, Sign in with Apple, Wallet, Shortcuts, and notifications), Google (sign-in and logos), our AI provider, a logo service, and exchange-rate sources. The Privacy Policy names the providers that receive your data.
- Your use of those services is also governed by their own terms.
- We do not control them. A change or outage on their side can change or stop an Outlayr feature.
- You are responsible for any data or carrier charges for using Outlayr.
Suspension and termination
You can stop at any time
Delete your account in Settings and delete the app. If you have a subscription, cancel it with the app store you bought it from.
We can suspend or close accounts
We may suspend or close your account, or limit your access to features that run on our servers, if:
- you seriously or repeatedly break these terms;
- the law or a legal authority requires it;
- it is needed to protect other users, third parties, or Outlayr, for example to stop abuse of the AI features.
Where the law and safety allow, we will tell you why and give you a chance to fix the problem first. If we close your account when you have not broken these terms and you paid for Pro, write to us and we will help you request a refund from the store that billed you.
Suspension affects features that use our servers. The ledger on your phone remains yours, and you can still export it.
What continues
If these terms end, the parts that by their nature should continue will continue, including those on your data, our property, disclaimers, limitation of liability, indemnity, disputes, and the general terms.
Changes to Outlayr
- We improve Outlayr over time, so we may add, change, or remove features.
- Some features may need an up-to-date version of the app or of your phone’s operating system to keep working.
- We may stop offering Outlayr, or any part of it. For lifetime purchases, see What “lifetime” means.
- If we stop offering a paid feature before a subscription period you paid for ends, we will stop selling it, and you can cancel and ask the store that billed you for a refund of the unused part.
No warranties
To the fullest extent the law allows, Outlayr is provided “as is” and “as available”, and we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
In particular, we do not promise that Outlayr will be uninterrupted or error free, that data will never be lost, that AI output, exchange rates, or logos will be accurate, or that Outlayr will meet your needs.
If the law where you live gives you warranties or guarantees that cannot be excluded, you keep them, and this section applies only as far as that law allows.
Limitation of liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, savings, or data, arising from or related to Outlayr or these terms, even if we were told they were possible.
- We are not liable for decisions you make, or payments you make or miss, based on Outlayr, including on AI output, exchange rates, projections, or reminders.
- Our total liability for all claims about Outlayr or these terms is limited to the greater of (a) what you paid for Outlayr Pro in the 12 months before the event that gave rise to the claim, and (b) US$50.
These limits apply whatever the legal theory, and even if a remedy fails of its essential purpose.
Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud, for gross negligence or willful misconduct, or for death or personal injury caused by negligence. If you are a consumer in a country whose law does not allow some of these limits, they apply to you only as far as that law allows.
Indemnity
If a third party brings a claim against us because you broke these terms or the law, or infringed someone else’s rights through your use of Outlayr, you agree to cover our reasonable losses and costs from that claim, including reasonable legal fees.
We will tell you promptly about the claim and let you take part in the defense. You do not have to cover anything caused by our own fault.
If you are a consumer, this section applies only as far as the law where you live allows.
Governing law and disputes
Governing law
These terms, and any dispute about Outlayr or these terms, are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Talk to us first
Before starting a claim, email [email protected] with your name, the email address on your Outlayr account if you have one, a description of the problem, and what you are asking for. We will both try in good faith to resolve it within 30 days. To the extent the law allows, deadlines for bringing the claim are paused during those 30 days.
Where claims are heard
If we cannot resolve it, the dispute will be heard in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. Either of us may instead bring an individual claim in a small-claims court that has jurisdiction over it.
These terms do not require arbitration and do not include a class-action waiver.
Your consumer rights
If you live in the European Union, the United Kingdom, or another country whose law gives consumers protections that a contract cannot take away, nothing in these terms takes them away. That includes, where your law provides it, the protection of the mandatory rules of the country where you live and the right to bring a claim in its courts.
Apple’s terms
If you get Outlayr from Apple’s App Store, the following also applies. It is part of these terms.
- Apple is not a party. These terms are between you and danestves LLC only, not Apple. We, not Apple, are solely responsible for Outlayr and its content.
- Scope of license. Your license to use Outlayr is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Maintenance and support. We alone are responsible for providing maintenance and support for Outlayr, as described in these terms or required by law. Apple has no obligation to provide any maintenance or support for Outlayr.
- Warranty. We alone are responsible for any product warranties, whether express or implied by law, to the extent they are not effectively disclaimed. If Outlayr fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, that you paid for Outlayr. To the maximum extent the law allows, Apple has no other warranty obligation for Outlayr, and any other claims, losses, liabilities, damages, costs, or expenses caused by a failure to conform to a warranty are our responsibility, not Apple’s.
- Product claims. We, not Apple, are responsible for addressing any claims by you or a third party about Outlayr or your possession or use of it, including (a) product liability claims, (b) claims that Outlayr fails to conform to any legal or regulatory requirement, and (c) claims arising under consumer protection, privacy, or similar laws.
- Intellectual property claims. If a third party claims that Outlayr, or your possession and use of it, infringes their intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling, and discharging that claim.
- Legal compliance. You confirm that you are not located in a country that is subject to a US Government embargo or that the US Government has designated as a “terrorist supporting” country, and that you are not on any US Government list of prohibited or restricted parties.
- Third-party terms. When you use Outlayr, you must comply with any third-party terms that apply, such as your mobile carrier’s.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these terms. Once you accept them, Apple has the right, and is deemed to have accepted the right, to enforce them against you as a third-party beneficiary.
- Questions and claims. Questions, complaints, or claims about Outlayr go to us, not Apple, at [email protected] or by mail to danestves LLC, 651 N Broad St, Suite 201, Middletown, DE 19709, USA.
Changes to these terms
- We may update these terms. The version on this page, with the effective date at the top, is the current one.
- For a material change, we will tell you before it takes effect, in the app, on this website, or by email if you have an account.
- If you keep using Outlayr after a change takes effect, the new terms apply to you. If you do not agree, stop using Outlayr, cancel any subscription, and delete your account.
- A change does not apply to a dispute that arose before it took effect.
General terms
- Entire agreement. These terms and the Privacy Policy are the whole agreement between you and us about Outlayr, and replace any earlier ones.
- Severability. If a court finds part of these terms unenforceable, that part is enforced as far as possible, and the rest stays in effect.
- No waiver. If we do not enforce part of these terms, we have not given up the right to enforce it later.
- Assignment. You may not transfer your rights or obligations under these terms without our written consent. We may transfer ours to an affiliate or as part of a merger, acquisition, or sale of all or part of our business, and the new party will be bound by these terms.
- Force majeure. We are not responsible for failures or delays caused by events outside our reasonable control, such as natural disasters, war, government action, or outages of the internet, power, or third-party services.
- Export controls. Outlayr is subject to US export control and sanctions laws. You may not use, export, or re-export it in violation of them, including to embargoed countries or to people on US restricted-party lists.
- US Government end users. Outlayr is “commercial computer software” and its documentation is “commercial computer software documentation”, as those terms are used in 48 C.F.R. 12.212 and 227.7202. US Government end users receive only the rights granted to all other users under these terms.
- Language. These terms are written in English. If we provide a translation, the English version controls, except where the law requires otherwise.
- Notices. We may send notices in the app, on this website, or by email. You can send notices to [email protected].
